瞄準 AI 人才，打造 Devin 編碼助理的新創 Cognition 併購 Windsurf

新創 Windsurf 上週與 Google 簽署協議，兩名創辦人及部分研發團隊成員加入 Google DeepMind 之後，14 日緊接著公開重磅消息，Windsurf 將由另一新創 Cognition 收購。

Cognition 已簽署最終協議，收購 Windsurf 這款具備代理功能的 IDE（Integrated Development Environment，整合開發環境），這次收購涵蓋 Windsurf 的智慧財產、產品、商標與品牌、業務，但未對外透露交易金額。

從 Cognition 創辦人暨執行長 Scott Wu 寄給自家團隊的信件，可歸納 Cognition 收購 Windsurf 的五大理由：

首先是公司核心的 Windsurf IDE，並能完整使用最新 Claude 模型。
Windsurf 的智慧財產，包括商標與品牌。
Windsurf 創造年度經常性收入（Annual Recurring Revenue，ARR）8,200 萬美元（約台幣 24 億元），業務迅速成長，尤其企業 ARR 每季倍增。
Windsurf 擁有超過 350 家企業客戶，以及數十萬名每日活躍用戶。
Scott Wu 認為最重要是，將迎來 Windsurf 的一流人才，讚許他們是業界最優秀的菁英。

Scott Wu 也指出，近期 Windsurf 團隊如常運作，Cognition 也會持續專注以 Devin 加速工程開發。未來數個月內，會將 Windsurf 的技術能力整合至 Cognition 的產品中。

▲ Cognition、Windsurf 雙方執行長共同宣布合併事宜。

Cognition 以其 AI 程式開發助理 Devin 聞名，協助工程師加速開發程式。根據《彭博社》3 月報導，當時 Cognition 募資數億美元，公司估值接近 40 億美元。Cognition 此舉正值 Meta、Google、OpenAI 等大公司爭奪頂尖人才之際，現在加入 Windsurf 資產，有助於 Cognition 推進「打造軟體工程的未來」願景。

根據外媒報導，OpenAI 今年 4 月曾洽談以 30 億美元收購 Windsurf，最終並未成功。Google 上週五宣布挖角 Windsurf 共同創辦人 Varun Mohan、Douglas Chen 及部分研發團隊成員，並取得技術授權，外媒報導指 Google 為此付出約 24 億美元做為授權費和補償金。經過一個週末，Windsurf 進一步併入 Cognition。
